2. Scope of Services

Bogorado Consulting LLC provides business consulting and technical implementation services, including but not limited to:

Automation setup and updates

Chatbot and AI agent development

Calendar and booking system integration

Landing page design and development

Workflow and pipeline management

Any additional services must be agreed upon in writing.

3. Client Responsibilities

To enable us to provide our Services, you agree to:

Provide accurate and complete information.

Maintain necessary accounts, licenses, and permissions related to third-party tools.

Ensure that your use of our Services complies with all applicable laws and regulations.

4. Payment and Fees

All fees are due as specified in your service agreement, invoice, or subscription plan.

Payments are non-refundable unless otherwise stated in writing.

We reserve the right to suspend Services for late or unpaid invoices.

5. Intellectual Property

Our Work: We retain ownership of all methodologies, processes, templates, and intellectual property developed by us prior to or independently of our Services.

Your Content: You retain ownership of all content, data, and materials you provide to us.

Deliverables: Unless otherwise agreed, final deliverables (such as landing pages, bots, or workflows) are transferred to you upon full payment.

6. Third-Party Services

Our Services may involve third-party platforms (e.g., Go High Level, Tally.so, Google, Meta). We are not responsible for downtime, limitations, or issues caused by third-party services. Your use of such platforms is governed by their own terms and conditions.

7. Confidentiality

We agree to maintain the confidentiality of your non-public information. You agree not to disclose any confidential or proprietary information about our methods, pricing, or strategies without our written consent.

8. Disclaimer of Warranties

Our Services are provided “as is” and “as available.” We make no warranties, express or implied, regarding the functionality, performance, or results of our Services.

9. Limitation of Liability

To the fullest extent permitted by law:

Bogorado Consulting LLC will not be liable for any indirect, incidental, or consequential damages.

Our total liability for any claim related to the Services will not exceed the fees you paid to us in the 3 months prior to the claim.

10. Indemnification

You agree to indemnify and hold harmless Bogorado Consulting LLC, its officers, employees, and contractors from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate Services if you breach these Terms, fail to pay fees, or misuse our Services. You may terminate Services at any time, but fees already paid are non-refundable.

12. Governing Law

These Terms shall be governed by and construed under the laws of the State of Colorado, United States, without regard to conflict of law principles.

13. Changes to Terms

We may update these Terms from time to time. Updates will be effective upon posting to our website. Continued use of our Services constitutes acceptance of the revised Terms.
